Terms and Conditions

 

1. Introduction

These Terms and Conditions (“Agreement”) govern the supply of CloudPBX, Voice over IP (VoIP), and business NBN services (“Services”) by VoIP Tele (“we”, “us”, “our”) to small and medium-sized business customers (“you”, “your”). By using our Services, you agree to these Terms in full.

2. Service Provision

  • We will provide the Services as described in your application/order form, subject to availability and network conditions.
  • You are responsible for obtaining and maintaining any hardware, software, and internet connection required for the Services.
  • All telephone numbers allocated remain our property and may be changed as required by law or regulatory authorities.

3. Use of Services

  • Services are for your business use only and must not be resold or used to provide services to third parties without our written consent.
  • You must not use the Services for unlawful, fraudulent, or abusive purposes.
  • You are responsible for all use of the Services, whether by you or any other person using your account.

4. Fees and Payment

  • You must pay all fees and charges for the Services as per your selected plan and our current price list.
  • Fees are calculated based on your usage and our records are conclusive evidence of usage and charges.
  • All amounts include GST unless otherwise stated.
  • Payment is due as specified on your invoice. Failure to pay may result in suspension or termination of Services.

5. Service Limitations and Availability

  • The Services depend on your internet connection and may not function during power outages or network disruptions.
  • We do not guarantee continuous or fault-free operation but will use reasonable efforts to restore Services in the event of disruption.
  • Priority assistance for life-threatening conditions is not available through VoIP services.

6. Number Porting and Ownership

  • Telephone numbers provided are for your use while you are a customer. We reserve the right to alter or withdraw numbers as required by law or regulation.
  • Number porting is subject to regulatory requirements and may incur additional fees.

7. Privacy and Data Protection

  • We collect, use, and disclose your personal information in accordance with our Privacy Policy and applicable Australian privacy laws.
  • You consent to us using your information for service provision, billing, and regulatory compliance.

8. Liability and Indemnity

  • To the extent permitted by law, we exclude all liability for any loss or damage arising from your use of the Services, including loss of profits, data, or business interruption.
  • You indemnify us against any claim, loss, or liability arising from your breach of this Agreement or misuse of the Services.

9. Suspension and Termination

  • We may suspend or terminate your Services if you breach these Terms, fail to pay fees, or if required by law.
  • You may terminate the Services by providing written notice, subject to any minimum contract period and applicable early termination fees.

10. Amendments

  • We may update these Terms from time to time. Changes will be notified to you and published on our website. Continued use of the Services constitutes acceptance of the revised Terms.

11. Governing Law

This Agreement is governed by the laws of New South Wales, Australia. Any disputes will be resolved in the courts of New South Wales.
